EXUPAIR GENERAL CONDITIONS OF SERVICES
ARTICLE 1 – SUBJECT
These General Terms and Conditions for the provision of services by the company EXUPAIR (hereinafter “the Service Provider”) headquartered in 66 Av. des Champs-Élysées, 75008 Paris, France, applies systematically to any Customer that place an order with the Service Provider, and in no manner substitute a future written General Agreement between the client and Service Provider.
The Customer is bound to read these Conditions before placing an order, and the use of EXUPAIR services automatically entails Customer’s acceptance of these Terms and Conditions.
The Service Provider reserves the right to unilaterally modify the provisions below. Any modification of these provisions shall be enforceable against the Customer as soon as the modification is communicated by any means whatsoever.
The conditions apply, without restriction or reservation, to all services performed by the Service Provider on behalf of the Customer, regardless of the clauses that may appear on the Customer’s documents, in particular its own general terms and conditions of purchase.
ARTICLE 2 – SERVICES PROVIDED BY THE SERVICE PROVIDER
The Service Provider offers Flight Support services to the Customer, such as Worldwide Ground Handling coordination, Into-plane Refueling, Permits, Slots and PPR, Flight Planning, Catering, accommodation, and any other aviation services that the client may request to the Service Provider.
The Service Provider may subcontract all or part of the services described above, and the Customer is not obliged to request 100% of the services to the EXUPAIR, however it is requested to correctly advise EXUPAIR Ops Department which services are coordinated by other suppliers for smooth coordination between the parties.
ARTICLE 3 – CANCELLATION
The Customer is able to cancel the order whenever is needed. In the event of a cancellation by the Customer of all or part of the Order, for any reason whatsoever, EXUPAIR reserves the right to charge the Customer all Third-Party fees charged by Third Party providers to EXUPAIR. EXUPAIR doesn’t charge Cancellation fees on its own unless 100% of the requested services has been officially confirmed by the means of a Trip Brief, which means EXUPAIR has performed all the necessary actions to coordinate and confirm the services, including, in some cases, pre-payments to Third-party providers, encountering bank and other fees related to currency exchange and country locations of Third-party providers.
In this scenario, EXUPAIR will charge the customer 100 USD of Cancellation fee plus any bank fees in case a pre-payment has been done to accomplish the request.
ARTICLE 4 – PRICES & TAXES
The Service Provider will provide, upon request of the client, clear and transparent prices by electronic means.
Although EXUPAIR fees are fixed and transparent, Third-Party prices can vary from the original Quote according, but not limited, to the date of operation, services requested by the crew on ground, equipment available at the time of the operation, currency fluctuations, Airport taxes, local and national taxes, etc.
Prices are net and exclusive of VAT, and local/national taxes can be charged by local agents at the time of the operation, or even later.
EXUPAIR can, upon request from the client, assist to claim VAT refund through its VAT Recovery Program.
ARTICLE 5 – LIABILITY
All EXUPAIR’ suppliers to which the Service Provider has entered in an Agreement, are liable according to the IATA SGHA and possess proper insurance coverage.
In case of accident/incident during an operation, caused by a Third-Party and out of the EXUPAIR’s responsibility, the insurance of the EXUPAIR’ sub-contractor/local supplier is liable. EXUPAIR agrees to cooperate between the parties to arrive to the best understanding and solution in case of any dispute. The Customer is the sole responsible for its own insurance coverage, and EXUPAIR understands that Customer’s insurance certificates are up to date.
